Whereas, currently the Eken Park Neighborhood Association does not have policies, and
Whereas, By Laws may not always be the most appropriate vehicle or tool or means to address Association concerns, and
Whereas, the Association would benefit by having a means to address concerns or direct or guide activities and functions of the Association, using a body of rules of lesser import than the By Laws, and
Whereas, creating Policies would serve the Association’s needs for addressing concerns or establishing guidance for Associations activities, and
Whereas, shown below is the Organizational Structure of the Neighborhood Association, by subject heading and or category, and
Whereas, this amendment assigns duties to the Secretary, that position’s duties and authority is amended as well,
Now Be It Resolved, That Article 5: Organization, of the Eken Park Neighborhood Association By Laws be amended as shown: by those sentences and paragraphs marked in underline, beginning with the period after the first sentence and the the whole of the second sentence shown under the title of Article 5: Organization, then following with the subject heading “Policies”.

The Neighborhood Association may create, devise, or establish policies governing the the Association.

The Association may create, devise, or establish policies governing the the Association.
> All policies shall be in writing, and displayed on the Eken Park Neighborhood Association website or its successor or replacement venue or platform and otherwise as directed by the membership or the Officer’s Team. The Secretary shall be responsible for this duty.
> The purpose of policies is to maintain uniformity and consistency in Association activities over time and to reasonably enable members to conform their Association activities and actions to expectations established by the Association’s members.
> To create a policy a member in good standing must perform the following acts.
- Write an explanation or description of the matter or issue or subject requiring the creation of a policy. This explanation or description must be complete, understandable, and relevant to the Association.
- Write a proposed policy.
- Describe or explain how the proposed policy corrects, addresses, resolves, or otherwise affects the stated matter or issue or subject to the benefit of the Association or its membership.
> Policy proposals must be placed on the agenda of a membership meeting not less than one week prior to the meeting date. The meeting may not take action upon the policy proposal unless quorum is present and maintained during the meeting. The policy proposal shall be introduced, discussed, then voted upon. The policy may be approved by a simply majority of the members present.
> A newly approved policy must be posted or displayed on the Association’s Website not later than the date of the next regular meeting of the Association.

Policies: Authority of.
> The policies shall be binding upon all activities, functions, and conduct of the Association. All members acting upon behalf of, or representing the Association, shall comply with applicable policies in such activity.
> If a policy conflicts with a By Law, the By Law shall take precedence over the Policy. All actions or decisions taken in case of such conflict shall conform to the By Law.

Explanation of the Above Items.
Currently the only language available to govern the affairs of the association are the By Laws. This resolution allows for the existence of Policies to govern the affairs of the Association, under the authority of the By Laws.
This also assigns responsibility to the Secretary to record policies as they are created.
This amendment is will be an asset and a needed tool to better define and resolve issues of concern to the membership. With the amendment the full membership with have more democratic agency and transparancy. Thank you for the effort and time to create this change.
